# SalOS — Terms of Service and Subscription Conditions (v1.1)

## 1. Subject and acceptance
1.1. These terms govern access to and use of the SalOS platform (app.salos.net)
by the subscribing organization ("Customer").
1.2. Acceptance is recorded at self-serve registration (click-wrap): version
accepted, date and the accepting administrator's email. No account is
provisioned without acceptance. Acceptance by an administrator binds the
organization.
1.3. The Data Processing Agreement (DPA, Art. 28 GDPR) is a SEPARATE document
accepted on the platform before any third-party personal data is entered —
these terms do not replace it.
## 2. The service
2.1. SalOS is an artisanal salt production management system (traceability,
production, laboratory, warehouse, sales, customer portal), provided as SaaS.
2.2. Features by tier (Free Trial / Basic / Pro / Enterprise) per the public
pricing page (salos.net/pricing). The matrix published at the acceptance date
prevails over informal descriptions.
2.3. **Third-party integrations** (Moloni, Stripe, InPost, Squarespace, the
Marnoto AI module's LLMs) use the Customer's OWN accounts and credentials; the
cost of those accounts is the Customer's and is never billed by SalOS
(pass-through).
## 3. Trial period (Free Trial)
3.1. 30 days of full access, no credit card, with published limits
(talhos/users).
3.2. At the end of the period without conversion, the account is SUSPENDED with
data preserved — no automatic deletion. Data is retained for a maximum of 90
days after suspension, after which export is offered before any deletion.
## 4. Pricing, invoicing and payment
4.1. Public prices at salos.net/pricing, **VAT not included**. The provider is
currently registered as *Działalność nierejestrowana* in Poland and is
**VAT-exempt**, and therefore **charges no VAT** on subscriptions at this stage.
No VAT is charged to the Customer while that condition holds.
4.2. While the provider is exempt and holds no VAT-UE registration (NIP-UE), the
supporting document issued is a **rachunek** (non-fiscal receipt), without VAT.
**An invoice (faktura) to a Customer that is a VAT taxable person in another EU
Member State is issued only after the provider completes VAT-UE registration**;
at that point reverse charge ("odwrotne obciążenie") applies to EU business
customers with a valid VAT number (VIES validation), the invoice being issued
without VAT and bearing that note. The concrete invoicing conditions are
confirmed in writing before any charge.
4.3. Monthly advance invoicing by bank transfer. Payment term: **15 days** from
issue of the document.
4.4. MONTHLY renewable commitment, or ANNUAL with a published discount (−20%),
billed monthly.
4.5. Non-payment: automatic reminders; access is suspended after **28 days** in
arrears, with data preserved.
## 5. Plan changes
5.1. Upgrade: immediate effect on access; the new price on the next invoice.
5.2. Downgrade: effective at the end of the paid period; the lower plan's limits
apply with a 14-day tolerance window to regularize excess users (the platform
never deletes data on downgrades; talhos are always preserved).
## 6. Support and SLAs
6.1. Channels and target response times by tier per the support annex. **[LEGAL
REVIEW PENDING — the SLA annex is not published until incident detection exists;
until then support is best-effort during Europe/Lisbon business hours.]**
6.2. SLAs are RESPONSE targets, not resolution guarantees.
## 7. Data, security and GDPR
7.1. Multi-tenant isolation via Row-Level Security; daily backups (RPO 24h /
RTO 4h per the BCP).
7.2. GDPR roles, sub-processors and transfers: governed by the DPA accepted on
the platform. The Marnoto AI module requires separate consent (US transfer) and
is revocable.
7.3. Data export: the Customer may request a full export; deletion follows the
account-closure flow. Time to execute an export or deletion request: **30
days**.
## 8. Acceptable use
8.1. Prohibited: unauthorized resale, scraping the platform, entering unlawful
data, attempting to access other organizations' data.
8.2. Slugs/identifiers that infringe third-party trademarks may be reclaimed
(brand-squat review queue).
## 9. Term, termination and closure
9.1. Termination by the Customer: at any time, effective at the end of the paid
period; the account becomes SUSPENDED (data preserved, export available).
9.2. Definitive closure and deletion: a deletion pipeline with a **30-day**
grace period.
9.3. Termination for serious breach: immediate effect, with reasons.
## 10. Limitation of liability

exclusion of indirect damages; without prejudice to applicable mandatory legal
provisions.]**
## 11. Changes to the terms
11.1. Material changes → new version + re-acceptance. The platform re-prompts an
administrator for acceptance on their next access after a version bump (the same
versioning discipline as the DPA); access to the administration areas is
conditional on that acceptance. Essential read/consultation areas (including
this terms page and sign-out) remain accessible.
## 12. Governing law and forum
12.1. These terms are governed by **Polish law**. The competent forum is the
courts of **Poland**, without prejudice to any mandatory consumer-protection
provisions that may apply in the Customer's jurisdiction.
## 13. Intellectual property
13.1. The SalOS platform, its code, design, brand and documentation are the
property of **Nuno Filipe Lourenço Correia** and are protected by copyright and
other intellectual-property rights (see the proprietary software license
notice). These terms grant the Customer a non-exclusive, non-transferable,
revocable license to use the platform while the subscription is active; they
transfer no ownership right.
13.2. DATA entered by the Customer remains the Customer's property. The Customer
grants SalOS only the license strictly necessary to operate the service (to
store, process and display that data), under the terms of the DPA.
## 14. Customer's fiscal responsibility
14.1. The Customer is solely responsible for complying with the fiscal,
regulatory and certification obligations applicable to its own salt production
and sales activity in its jurisdiction (including VAT, invoicing to end
customers, labelling, and any designations of origin or certifications it
claims).
14.2. SalOS's fiscal and traceability features are support tools; they do not
constitute fiscal, legal or regulatory advice, and do not transfer to SalOS
responsibility for the Customer's fiscal compliance.
## 15. Language
15.1. This document is provided in Portuguese, English and Spanish. In case of
discrepancy between the language versions, **the Portuguese version prevails**.
